	Service Agreement
	AFFILIATE AGREEMENT This Agreement ("Agreement") is entered into by and between you (the "Affiliate") and its affiliates, subsidiaries and assignees and dotPH Domains, Inc. ("dotPH"), through their authorized representatives, and takes effect on the date of execution by the final party (the "Effective Date"). RECITALS 1. dotPH is the exclusive registry which has been designated by the Internet Assigned Numbers Authority (�IANA�) as the Internet Country Code Top Level Domain (�ccTLD�) associated with the Country Code for the Republic of the Philippines. 2. dotPH has developed a service (�Service�) that will facilitate the search and registration of PH domain names through Affiliate�s home page. 3. dotPH and Affiliate desire to enter into an agreement whereby the latter can avail of the Service. NOW THEREFORE, the Parties hereto agree as follows: 1. DEFINITIONS 1.1 "Domain Server" shall mean the Internet domain name lookup server, including all hardware operating system software, application software and associated databases, or the functional equivalent, which is maintained by dotPH exclusively for facilitating the registration and look-up of Domains by dotPH's affiliates. 1.2 "Domain Registration Service" (the "Service") shall mean dotPH's service offering to dotPH's affiliate (the Affiliate). 1.3 "dotPH Policies" shall refer to the policies appearing in dotPH's website, as may be modified by dotPH from time to time. 2. PAYMENT 2.1 Affiliate Commissions. Unless otherwise agreed upon by the Parties in writing, (a) Affiliate shall receive $10.00 for each domain registered using the Affiliate�s referrer code. Affiliates must earn a minimum of US$30 before the commission can be claimed. This applies to cash and check payments. Credit Card payments will have a holding period of 6 months before it can be considered a commission. DotPH will not make commission checks for amounts less than $30. (b) Commissions are issued in US Dollars. Upon request, commissions can be issued in Philippine Pesos at the applicable exchange rate, as determined by dotPH and posted at its site. 2.2 Registrations. All registrations shall be final and all payments received by dotPH shall be non-refundable. 2.3 Chargebacks and Disputed Transactions. Affiliate shall hold dotPH free and harmless from any and all liability arising from any chargeback or fraudulent transaction done via its Site. This liability shall oblige Affiliate to refund dotPH any commissions for chargeback transactions within fifteen (15) days from Affiliate�s receipt of proof of the chargeback notice. These sums may be deducted by dotPH from any amount due to Affiliate under this or any other agreement between them. 3. DEVELOPMENT AND DELIVERY 3.1 dotPH Development. dotPH shall, at dotPH's sole expense, provide the Affiliate with a link that can be integrated with the Affiliate�s website. The link will allow lookups, on-line registration, access to certain dotPH Confidential Information, and such other functions to facilitate the Service with access to the Domain Server and certain dotPH Confidential Information. dotPH shall also provide support to facilitate the integration of the Service with the Affiliate's service offerings. 3.2 Affiliate Development. The Affiliate shall, at the Affiliate's sole expense, integrate the link with the Affiliate�s software, website, system and/or processes to enable access, lookups, on-line registration and general access to dotPH's Domain Server. 3.3 Support. When requested, dotPH shall provide technical support to the Affiliate. 3.4 Obligations of Affiliate. a) Affiliate shall provide prominent placement of the dotPH search box on its homepage. b) Affiliate hereby agrees to abide by and strictly comply with all dotPH policies. 3.5 Service Facilities. Subject to the terms and conditions contained herein, dotPH hereby grants to the Affiliate and the Affiliate accepts a non-exclusive, non-transferable, limited right to use the Service, including all improvements, enhancements, modifications, revisions and updates thereto (whether created by dotPH, the Affiliate or any third party). dotPH reserves the right to modify or discontinue the Service with or without notice to the Affiliate. dotPH shall not be liable to the Affiliate or any third party should dotPH exercise its right to modify or discontinue the Service. For purposes of this agreement, the Service shall consist of technology owned and developed by dotPH that, with minimal effort, will make available on Affiliate�s website various services related to domain name registration that are provided by dotPH. The interface to such facilities may be modified by the Affiliate to conform to its site design. Such services may include the following: domain name availability search; domain name registration; waitlist a domain name; and domain name whois service. 3.6 Use of dotPH Logo. For the term of this Agreement, dotPH hereby grants to the Affiliate and the Affiliate accepts a limited, non-exclusive, non-transferable right to use and display, on its web site wherein it offers its web hosting, web design or related services, the dotPH logo designated by dotPH, for the sole purpose of identifying it as a member of dotPH's Affiliate Program. dotPH will provide the Affiliate with electronic versions of the dotPH logo and trademark for the Affiliate's use. All representations of the dotPH logo and trademark that the Affiliate uses will be exact copies of those provided by dotPH. dotPH reserves the right to designate or change the dotPH logo and the Affiliate's compliance with this provision shall commence upon receipt of notice from dotPH. 4. RIGHTS 4.1 Ownership. dotPH shall retain all right, title and interest in and to the Domain Server, including any and all modifications to the Domain Server, and dotPH's Confidential Information and shall not be obligated to pay to the Affiliate any royalties or other consideration dotPH may receive for any licenses, assignments, sales, leases, or other transfers or distribution of dotPH's Confidential Information. The Affiliate shall retain all right, title and interest in and to the Affiliate service offerings and/or modification of its software, website systems and processes and shall not be obligated to pay to dotPH any royalties or other consideration it may receive for any licenses, assignments, sales, leases, or other transfers or distribution of the Affiliate software, systems and/or processes. 4.2 Right to Use the Domain Server. Subject to the terms and conditions contained herein, dotPH hereby grants to the Affiliate and the Affiliate accepts a non-exclusive, non-transferable, limited right to use dotPH's Domain Server, including all improvements, enhancements, modifications, revisions and updates thereto (whether created by dotPH, the Affiliate or any third party), and dotPH's Confidential Information provided under this Agreement solely for the purpose of registration through dotPH's Affiliate Program and no other purpose. The Affiliate understands that this Agreement does not convey title to or ownership of dotPH's Domain Server and dotPH's Confidential Information as provided herein. As between dotPH and the Affiliate, dotPH shall continue to own the Domain Server and dotPH's Confidential Information, including all trade secrets, copyrights, patents and other proprietary rights therein and any and all modifications thereto, whether created by dotPH, the Affiliate or any third party. Other terms and conditions concerning the use of or access to dotPH's Domain Server shall be embodied in dotPH's Policies. 4.3 Use Limitations. The rights granted in Paragraph 4.2 above is subject to certain limits to the Affiliate's use of dotPH's Domain Server and dotPH's Confidential Information, including, without limitation, each of the following: (A) Distribution. The Affiliate agrees that it shall not, except as expressly provided herein, sublicense, license, rent, sell, loan, give or otherwise distribute all or any part of dotPH's Confidential Information (as defined in 1.1 above) or any derivative works based upon dotPH's Confidential Information, to any third party, unless approved in advance and in writing by dotPH. (B) Access. The Affiliate will restrict access to the Domain Server and dotPH's Confidential Information to its employees who are required to have access to the Domain Server or to dotPH's Confidential Information in connection with the performance of their duties for the Affiliate in connection with this Agreement, and who are bound by written agreements containing obligations of confidentiality and appropriate works-for-hire language regarding the Affiliate ownership of all inventions, discoveries and copyrightable works created by such employees. (C) Copies. The Affiliate agrees that all data contained on dotPH's Domain Server is the Confidential Information of dotPH and that, except as provided in Paragraph 3.2 above, the Affiliate shall not copy the data contained therein, or any other Confidential Information, in whole or in part, without the prior written consent of dotPH. (D) Proprietary Notices. The Affiliate shall not alter, remove or conceal any copyright, patent, trade secret or other confidential/proprietary rights notices that may appear on or within the Domain Server, related documents or dotPH's Confidential Information. 4.4 Attribution. During the term of this Agreement, each party agrees to attribute to and acknowledge the other party's contribution to this Agreement and all trademark copyrights and other ownership rights. 4.5 Exclusivity. During the term of this Agreement, the Affiliate shall not register PH country code top-level domains through any registrar other than dotPH. 5. STANDARD TERMS 5.1 Term. This contract shall be effective upon the execution hereof and shall subsist for an initial term of one (1) year. It may be renewed upon terms acceptable to both parties. 5.2 Termination at Will. Either party may terminate this agreement thirty (30) days after the sending of a written termination notice to the other party. 5.3 Termination for Default. Either party shall be entitled to terminate this Agreement in the event of a failure by the other party to perform any of its material obligations under this Agreement if such breach is not cured within sixty (60) days after receipt of notice thereof from the non-defaulting party or within ten (10) days after receipt of such notice if such breach relates to the payment of fees or other amounts owed hereunder or a breach by the Affiliate. 5.4 Insolvency. This Agreement shall terminate upon the election of and notice from a party to the other if the other party is adjudged insolvent or bankrupt, or the institution of any proceedings by or against the other party seeking relief, reorganization or arrangement under any laws relating to insolvency, or any assignment for the benefit of creditors, or the appointment of a receiver, liquidator or trustee of any of the other party�s property or assets, or the liquidation, dissolution or winding up of the other party�s business. 5.5 Effect of Termination. Upon expiration or termination of the Agreement for any reason, all use of all products and services provided hereunder shall cease, and Affiliate shall pay to dotPH all accrued fees and other amounts due. 5.6 Disclaimer of Warranties All products and services supplied by dotPH to the Affiliate hereunder are provided �as is� and dotPH makes no warranties whatsoever with respect to their usefulness, functionality, results, or operability. dotPH hereby disclaims all other warranties, express, implied, or statutory, including without limitation, any implied warranty of merchantability, fitness for a particular purpose or, non-infringement of third party rights. 5.7 Limitation of Liability. dotPH will not be liable to the Affiliate, its customer or to any third party for any consequential, indirect, special, incidental or exemplary damages, whether foreseeable or unforeseeable (including, but not limited to, damages for loss of data, goodwill, profits, investments, use of money or use of facilities; interruption in use or availability of data; stoppage of other work or impairment of other assets; even if dotPH has been advised of the possibility of such damages) arising out of this agreement, the products or services, breach of contract or any express or implied warranty, or indemnity under this agreement or otherwise, misrepresentation, negligence, strict liability, or other tort. Under no circumstances shall dotPH's liability to the Affiliate or its customer or to any third party arising out of or related to this agreement, the products or services, exceed the amounts paid by customer or the Affiliate under this agreement (as the case may be) regardless of whether any action or claim is based on such contract, warranty, indemnity, negligence, strict liability or other tort or otherwise. 6. REPRESENTATIONS AND WARRANTIES 6.1 Representations and Warranties. Each of the Parties, as to itself, represents to each other that as of this date, the following statements are true: (A) Power and Authority. Each of the Parties has the power and authority necessary to carry on the business it conducts, to own or lease its property and to enter into and perform its obligations under this Agreement. (B) Authorization and execution. Each of the Parties has duly authorized the execution and delivery of this Agreement. (C) Enforceability. This Agreement is a legal, valid and binding obligation of each of the Parties, enforceable against each of them in accordance with its terms. (D) No Conflict. The Parties� execution and delivery of this Agreement, consummation of the transactions contemplated hereby, and compliance with the terms hereof, does not and shall not (a) contravene any law applicable to them; (b) breach or constitute a default, give rise to any right of acceleration or cancellation or result in or require amendment of, or the creation of any lien under any agreement or instrument to which they are a party or that binds or materially affects them or their property; or (c) require any consent or permit from any governmental authority. (E) Litigation. None of the Parties is a party to, nor are they or any of their property bound by, any proceeding or investigation pending or, to its knowledge, threatened, before any governmental authority which shall have a material adverse effect to the performance of their obligations hereunder. 7. MISCELLANEOUS 7.1 Confidentiality. The parties agree and acknowledge that each party has and will have access to certain of the other party�s Confidential Information (as defined below). Accordingly, the parties agree that, during the Term of this Agreement and thereafter, each party shall restrict disclosure of the other party�s Confidential Information to its employees, consultants or independent contractors with a need to know and not disclose the other party�s Confidential Information to any party without prior written approval of the other party. Notwithstanding the foregoing, it shall not be a breach of this Agreement for either party to disclose Confidential Information of the other party if required to by law or in a judicial or other governmental investigation proceeding, provided the other party has been given prior notice. As used in this Agreement the term �Confidential Information� refers to: (i)~the terms and conditions of this Agreement; (ii)~each party�s trade secrets, business plans, strategies, opportunities, methods, protocols and practices; (iv) the Private Label Site Facilities and the Payment Gateway Facilities; and (iii)~other information relating to either party that is not generally known to the public, including but not limited to information about either party�s personnel and customers. Notwithstanding the foregoing, the term �Confidential Information� specifically excludes (a)~information that is now in the public domain or subsequently enters the public domain; (b) information that is known to either party prior to receipt from the other party under this Agreement from its own independent sources; (c) information that either party receives from any third party having a legal right to transmit such information; and (d) information independently developed by either party�s employees or agents who had no access to the Confidential Information received hereunder. 7.2 Mutual Cooperation. Each of the Parties hereto shall take all actions as shall be necessary and permissible by law, in a due and expeditious manner, to cause and facilitate the effective implementation of the provisions of this Agreement. 7.3 Non-Disclosure of Agreement Terms. Neither party shall disclose the terms and conditions of this Agreement without the prior written consent of the other party except that each party may: (i) use such disclosures as are necessary to comply with applicable laws, rules and regulations or as necessary to enforce this Agreement, (ii) disclose the terms of this Agreement to such party�s auditors, attorneys, bankers or investment bankers as necessary for their rendition of services to a party. The parties agree to create and approve for publication a press release announcing their relationship under this Agreement. 7.4 Relationship. dotPH and Affiliate each acts for its own account and not as the agent or partner of the other. Nothing contained herein is construed to create a relationship of employer and employee, principal and agent, partnership or the like between parties hereto. Neither party will have authority to, and neither party shall, enter into any contract on behalf of the other or commit them to any obligation. 7.5 Amendment and Modification. The Parties may by mutual written agreement (i) extend the time for the performance of any of the obligations or other acts of the parties hereto; or, (ii) waive any compliance with or modify, amend, or supplement any of the covenants, agreements, representations or warranties contained in this Agreement or waive or modify performance of any of the obligations of any of the Parties hereto. 7.6 Counterparts. This Agreement may be executed in two or more counter parts, each of which shall be deemed an original, but all of which shall constitute one and the same agreement. 7.7 Entire Agreement. This Agreement constitute the entire agreement among the Parties hereto and supersede all prior agreements and understanding, oral and written, among the parties hereto with respect to the subject matter hereof. 7.8 Notices. All communications and notices provided for hereunder shall be in writing and shall be personally delivered or transmitted by postage prepaid registered mail (airmail if international), e-mail or by telefax as follows: dotPH Domains, Inc. 11th Floor, Strata 100 Bldg. Any notice transmitted by e-mail will be invalid unless receipt thereof is acknowledged by the party notified. 7.9 Non-exclusivity. Except as otherwise provided herein, the parties agree and hereby acknowledge that no promises or understandings of exclusivity have been made to induce either party to execute this Agreement. The Affiliate may contract with, and apply the Affiliate software, website, systems and/or processes to other Internet registries or registrars. dotPH may contract with and apply the Domain Registration Service and dotPH's Confidential Information to other Internet and On-Line Service Providers. 7.10 Preference. The Affiliate hereby agrees that dotPH's Service and associated linkages, pointers and references used by the Affiliate for registration of Domains will appear in the same or equally prominent position as the registry or registrar of other country code TLD or other global TLDs in all the Affiliate products and services which offer access to domain name registration services for the Internet. In addition, the Affiliate shall place the dotPH logo in its home page and shall maintain an active hyperlink to the dotPH official website. 7.11 Section and Other Headings. Sections and other headings contained in this Agreement are for reference only and shall not affect the meaning or interpretation of this Agreement. 7.12 Applicable Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. All actions arising from this Agreement shall be commenced or filed before the appropriate courts in the City of Pasig, to the exclusion of all other venues. 7.13 Separability of Provisions. If any one or more of the provisions contained in this Agreement or any documents executed in connections herewith shall be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions contained herein shall not in any way be affected or impaired. 7.14 Non-Waiver. The failure by dotPH at any time to require strict compliance with the provisions of this Agreement will not diminish its right thereafter to demand strict compliance with the terms hereof. IN WITNESS WHEREOF, the parties have executed this Agreement on the date and at the place first above written. I agree to these terms and conditions.
